Professional Agreement
This is the agreement every professional accepts before taking a single visit. It sets out what you are responsible for, what byoutoyou is responsible for, and the two rules that matter most: you work only where you are licensed and local, and you perform no clinical care of any kind. There is no non-compete here and never will be.
1. Independent contractor — no employment
- You are an independent contractor operating your own business. Nothing here creates employment, partnership, joint venture or agency between you and byoutoyou.
- You decide whether to accept any request, when you work, and which hospitals inside your declared radius you serve. There is no minimum, no shift, no exclusivity — you may work for anyone else, including competitors.
- We place no restriction on who you work for, ever. There is no non-compete and no non-solicitation here: a patient or family you meet through byoutoyou is yours to keep working with, on or off the platform, during and after. We would rather earn the next booking than forbid it.
- You supply your own tools, kit and supplies, and bear your own business expenses.
- You are responsible for your own taxes. We do not withhold. Where required, we issue a Form 1099 and you provide a W-9.
- You are not eligible for employee benefits, workers' compensation or unemployment insurance through byoutoyou.
What byoutoyou does not do, and will not start doing: we do not require exclusivity, restrict you from competing with us, set your working hours, require a uniform, supervise how you perform a service, or penalise you for declining work. The only direction we give is about safety, privacy and the hospital's own rules — which any client could require of any contractor. We encourage you to keep your own clients, advertise your own business, and operate through your own business entity.
To be plain about it: this section describes how the relationship actually works, and that is what decides your status. Neither your signature here nor ours can convert an employment relationship into a contracting one — classification is decided by the facts and by state law, and in some states byoutoyou will engage professionals as employees instead. Where we cannot do it properly, we do not open the state. See where we can operate.
2. Licensing, insurance and vetting
- You hold, and will keep current, the cosmetology, barbering, esthetics or nail licence required by the state in which each visit takes place, and you will not accept a visit in a state where you are not licensed.
- You carry your own professional and general liability insurance of at least $1,000,000 per occurrence, name byoutoyou as an additional insured, and provide a certificate on request.
- You consent to a criminal background check before your first visit and to periodic re-checks, run by a licensed screening provider who verifies your identity directly. byoutoyou does not collect, hold or transmit images of your government ID, passport or Social Security card, and will never ask you to email one.
- We verify your licence ourselves against your state board's public register rather than asking you for a copy, and we re-check it at renewal.
- You will tell us within 3 days if your licence or insurance lapses, is suspended, or is subject to a complaint.
3. Scope of work — the hard limits
- Personal grooming only, and only what your own licence covers: hair, nails, shaving, skin comfort, wigs and headwear. A cosmetology or esthetics licence covers the limited scalp, neck, face and shoulder work that forms part of a hair or facial service — it does not cover therapeutic massage, which is a separate licence and a separate board in every state. Massage visits are offered only to licensed massage therapists with oncology training.
- Nails are filed, not cut, for any patient with diabetes or neuropathy, and never at all without the nurse's go-ahead. Cutting those nails is a podiatrist's work and the consequences of getting it wrong are severe.
- Where a service depends on the care team clearing it — massage above all, because of clots, platelet counts, blood thinners, lymphoedema and radiation sites — you confirm that clearance was given before you begin, and you stop if anything about the patient has changed since.
- No clinical care of any kind. You do not move or reposition a patient, touch lines, tubing, drains, dressings or equipment, administer or apply anything medicinal, or give advice about care, treatment or medication.
- You follow the unit's instructions without argument. If staff say stop, you stop and leave.
- You report to the nurses' station on arrival, show photo ID, and work only in the time window agreed.
- You do not accept cash, tips in cash, gifts, or handle a patient's valuables, cards or money.
- You do not photograph or record a patient, a room, or any document, and you do not post about a visit.
- You are alone with a patient only where the unit permits it, and you stop and call staff if a patient becomes distressed, confused or unwell.
4. Privacy
You will learn things about a patient simply by being in the room. Treat all of it as confidential: do not repeat it, record it, or discuss it outside the care team. Where a hospital requires it, you will complete its privacy training and sign its confidentiality or business-associate paperwork. This obligation survives the end of this agreement.
5. Local only
You declare a home ZIP code and a travel radius. You will be offered visits only inside that radius, and you will not accept a visit outside it. If you move, tell us and we will update your area.
A visit reaches you as a hospital, a unit and a time window rather than a family's phone number — not to keep you apart from them, but because a grieving family's contact details are not ours to hand around. Once you are in the room, what you exchange is between you and them.
6. Payment
The patient or family pays byoutoyou. We pay you your share after the visit is marked complete, on the payout schedule shown in your account, less the platform commission disclosed to you before you accept each visit. If a visit is cancelled by the unit at short notice through no fault of yours, we pay you the cancellation fee we collect, if any.
7. Your indemnity
You are responsible for the work you perform. You will indemnify and hold byoutoyou harmless from claims, losses and costs (including reasonable legal fees) arising from your acts or omissions, your breach of this agreement, your failure to hold a valid licence or insurance, or your violation of a hospital's rules or of any law.
8. Platform's limits
byoutoyou does not guarantee any volume of work or income. The platform is provided as is. To the fullest extent permitted by law, our total liability to you in any 12-month period is limited to the commissions we retained from your visits in that period.
9. Suspension and termination
Either party may end this agreement at any time, for any reason, in writing. We may suspend you immediately, without notice, if a licence or insurance lapses, a background check surfaces a disqualifying result, a hospital or patient raises a safety or conduct concern, or you breach section 3.
10. Disputes
Disputes between you and byoutoyou are resolved by binding individual arbitration under the American Arbitration Association's Commercial Rules, with a class-action waiver, seated in Delaware. Either party may still bring an individual small-claims action. You may opt out of arbitration by emailing legal@byoutoyou.com within 30 days of accepting this agreement.
11. Acknowledgement
By submitting an application, and again each time you accept a visit, you confirm that you have read this agreement, that you are an independent contractor, that you are licensed and insured, and that you accept the limits in section 3.
